Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Tyllus, including our website, platform, dashboard, shipment workflows, document collection tools, partner submission links, tracking features, AI-assisted features, reports, and related services. For purposes of these Terms, “Tyllus,” “we,” “us,” and “our” refer to the provider of the Tyllus platform identified in the applicable account, order form, invoice, service documentation, or other written documentation provided in connection with the service. By accessing or using Tyllus, creating an account, using a shipment workflow, submitting information, uploading documents, or allowing others to use Tyllus through your account, you agree to these Terms. If you use Tyllus on behalf of a company, importer, organization, or other business entity, you represent that you are authorized to act on behalf of that entity and to bind that entity to these Terms. In these Terms, “you” and “your” refer to both you individually and the company or organization you represent.

1. Business Use Only

Tyllus is intended for business and commercial use only. Tyllus is not intended for personal, household, or consumer use.

Tyllus is primarily designed to support U.S.-based import operations, including shipment coordination, partner follow-up, document collection, shipment tracking, document storage, and reporting. Tyllus may also be used in connection with international shipments and parties located in different countries.

You are responsible for ensuring that your use of Tyllus, your shipments, your documents, your partners, and your communications comply with all laws, regulations, and trade compliance requirements that apply to your business and shipments.

2. Eligibility and Authority

You must be at least 18 years old to access or use Tyllus.

If you access or use Tyllus on behalf of a company or other business entity, you represent that you have authority to act on behalf of that entity and to bind that entity to these Terms.

You are responsible for ensuring that all users, employees, representatives, contractors, or other persons who access Tyllus through your account are authorized to do so and comply with these Terms.

3. Platform Purpose

Tyllus provides software tools for shipment visibility, follow-up automation, document collection, document storage, shipment tracking support, AI-assisted document review, and reporting.

Tyllus helps users coordinate shipment workflows by sending automated communications to selected shipment partners, requesting shipment updates and documents, collecting documents through shipment-specific links, storing shipment records, displaying tracking information, and generating reports based on information available in the platform.

Tyllus does not act as a customs broker, freight forwarder, carrier, shipper, legal advisor, tax advisor, trade compliance advisor, tariff classification advisor, duty calculation provider, accounting advisor, or insurance provider.

4. Accounts and Account Security

You are responsible for maintaining the confidentiality and security of your account credentials, passwords, devices, internal access controls, and account activity.

Tyllus will use reasonable safeguards to protect login credentials and account information, but you are responsible for preventing unauthorized access to your account and for promptly notifying Tyllus if you suspect unauthorized access, credential compromise, or misuse of your account.

You may not share account credentials with unauthorized persons or allow unauthorized persons to access Tyllus through your account.

5. Account Authority and Account Activity

Actions taken through an admin account, owner account, authorized user account, or any account credentials associated with your company will be treated as actions taken on behalf of your company.

You are responsible for all activity under your account, including shipment creation, partner selection, partner information entry, document uploads, document removals, shipment workflows, automated emails, partner submission links, reports, downloads, billing activity, account settings, and access by your employees, representatives, contractors, or other authorized users.

Tyllus may rely on instructions, information, selections, submissions, approvals, and actions made through your account without independently verifying the authority of each person using the account.

You are responsible for maintaining appropriate internal controls over who may access and use your Tyllus account.

6. Account Users and Team Access

Tyllus may allow you to add or authorize employees, representatives, contractors, team members, or other users to access your account or use the platform on behalf of your company.

Users who access your account may be able to view, submit, edit, download, delete, manage, or otherwise interact with shipment records, documents, reports, partner information, shipment links, alerts, workflows, and other account information, depending on the features and permissions available in Tyllus.

You are responsible for deciding who may access your account and for ensuring that all account users are authorized, comply with these Terms, and use Tyllus only for your legitimate business purposes.

Tyllus is not responsible for actions taken by users, employees, representatives, contractors, or other persons who access the platform through your account or credentials.

7. User and Customer Responsibilities

You are responsible for your shipments, shipment instructions, partner selections, documents, customs information, trade compliance obligations, and all information submitted to or processed through Tyllus.

You are responsible for ensuring that all shipment information, commercial invoices, packing lists, bills of lading, entry summaries, ISF information, customs documents, freight invoices, customs broker invoices, HTS codes, country of origin information, product descriptions, values, quantities, duties, taxes, partner details, email addresses, and instructions are accurate, complete, current, authorized, and compliant with applicable laws and regulations.

You remain responsible for reviewing and verifying all shipment records, documents, reports, alerts, AI-assisted outputs, partner submissions, and communications before relying on them or using them for customs, accounting, compliance, operational, or business purposes.

Tyllus may read documents, compare information, generate alerts, and attempt to identify inconsistencies, but Tyllus does not guarantee that it will detect every error, inconsistency, missing document, shipment issue, customs issue, billing issue, or compliance concern.

8. Authority to Provide Partner Information

You are responsible for ensuring that you have the right and authority to provide Tyllus with information about shippers, freight forwarders, customs brokers, carriers, vendors, suppliers, customers, employees, representatives, and other shipment partners or contacts.

By entering partner information into Tyllus or selecting a partner for a shipment, you authorize Tyllus to use that information to send shipment-related emails, document requests, submission links, reminders, status requests, follow-ups, and other communications related to the applicable shipment.

You are responsible for ensuring that all partner names, company information, email addresses, phone numbers, contact details, shipment instructions, and related information are accurate, current, authorized, and appropriate for use in Tyllus.

Tyllus is not responsible for communications sent to incorrect, outdated, unauthorized, or improperly entered contacts, or for any issue caused by your failure to obtain proper authorization from shipment partners or other third parties.

9. Disclosure to Selected Shipment Partners

By creating a shipment, selecting partners, entering partner information, or using shipment workflows in Tyllus, you authorize Tyllus to disclose shipment-related information to the shippers, freight forwarders, customs brokers, carriers, vendors, suppliers, customers, representatives, or other parties selected or entered by you for the applicable shipment.

This information may include your company name, shipment references, booking information, container information, document requests, shipment status requests, submission links, uploaded documents, document status, follow-up messages, and other information reasonably necessary to operate the shipment workflow.

Tyllus does not send shipment-related information to shipment partners unless they are selected, entered, or authorized by you for the applicable shipment, except as otherwise described in these Terms, our Privacy Policy, or as necessary for service providers, security, compliance, legal obligations, or protection of the platform.

10. Automated Emails and Partner Communications

Tyllus may send automated emails, document requests, shipment follow-ups, reminders, status updates, and related communications to shippers, freight forwarders, customs brokers, and other parties selected or entered by you in connection with a shipment.

By creating a shipment, selecting partners, entering contact details, uploading documents, or using shipment workflows in Tyllus, you authorize Tyllus to send these automated communications on behalf of your company to the selected parties.

Tyllus may use standard templates, system-generated messages, shipment data, partner information, document status, tracking status, and other information in the platform to prepare and send these communications.

Tyllus may send automated emails and other service-related communications from one or more Tyllus-managed email addresses, domains, or communication channels. The sender name, reply-to address, and communication format may vary depending on the type of notice, shipment workflow, account message, billing notice, security alert, or partner communication.

Tyllus does not guarantee that automated emails or communications will be error-free, delivered, opened, answered, acted on, or received on time.

11. Shipment Links for Partners

Tyllus may send unique shipment-related links to shippers, freight forwarders, customs brokers, and other parties selected or entered by you. These links may allow the recipient to access a shipment-specific page without creating a Tyllus account or logging in.

Through these links, recipients may be able to provide shipment updates, enter booking or container information, upload documents, respond to document requests, or complete other shipment-related actions for the applicable shipment.

Shipment links may be time-limited and may expire after a certain period. Once a link expires, the recipient may no longer be able to access the link, submit information, upload documents, or modify prior submissions through that same link.

You are responsible for entering accurate recipient information and ensuring that the selected recipients are authorized to receive shipment links and submit information or documents for the applicable shipment. Recipients are responsible for protecting any shipment links they receive and for not forwarding or sharing those links with unauthorized persons.

Tyllus may use reasonable safeguards, including unique links, expiration periods, access controls, monitoring, and other security measures. However, Tyllus is not responsible for unauthorized access, incorrect submissions, delayed submissions, or misuse of a shipment link caused by inaccurate contact information, email forwarding, compromised email accounts, user error, partner error, or actions outside Tyllus’s reasonable control.

12. Partner-Submitted Information and Documents

Shipment partners, including shippers, freight forwarders, customs brokers, and other selected parties, may submit information or upload documents through shipment-specific links provided by Tyllus.

Information and documents submitted through these links will be associated with the applicable shipment record and may be visible to, accessible by, and used by the Tyllus customer or user account connected to that shipment.

By submitting information or documents through a shipment link, the submitting party confirms that it is authorized to provide the information or documents for the applicable shipment and understands that the submission may be shared with the Tyllus customer or user associated with that shipment.

13. Partner Submissions and Corrections

After a partner submits information or uploads documents through a shipment link, the partner may not be able to directly edit, replace, or delete that submission through the same link, especially after the link expires or the submission is recorded in the shipment file.

If a partner needs to correct, replace, or remove submitted information or documents, the partner should coordinate with the Tyllus customer or user responsible for the applicable shipment.

The Tyllus customer or user is responsible for managing the shipment record and may remove documents, request updated documents, or take other available actions through the platform where such functionality is available.

14. No Customs Brokerage, Legal, Tax, or Trade Compliance Advice

Tyllus stores customs-related documents and provides reports based on documents and data available in the platform. Tyllus does not provide customs brokerage services, file customs entries, submit ISF filings, provide HTS code advice, provide tariff classification advice, calculate duties as an official service, or make customs compliance decisions.

Tyllus does not provide legal advice, tax advice, accounting advice, trade compliance advice, financial advice, customs advice, tariff classification advice, or duty calculation advice.

Any customs-related information, HTS codes, duty amounts, entry summary data, invoices, or related customs information displayed in Tyllus is based on documents or data submitted to or collected by the platform and is provided for informational and operational visibility purposes only.

You are responsible for working with your customs broker, legal advisor, tax advisor, accounting advisor, trade compliance advisor, or other qualified professional as needed.

15. AI Outputs and Automated Assistance

Tyllus may provide AI-generated or automated outputs, including document summaries, extracted shipment details, inconsistency alerts, suggested follow-ups, shipment status summaries, reports, and responses to shipment-related questions.

AI-generated and automated outputs may be incomplete, inaccurate, outdated, or based on incorrect, missing, or inconsistent source information. Tyllus does not guarantee that AI or automation features will detect every error, inconsistency, missing document, shipment issue, customs issue, billing issue, or compliance concern.

You are responsible for independently reviewing and verifying all AI-generated outputs, automated alerts, reports, shipment information, partner information, documents, communications, and decisions before relying on them.

Tyllus does not use AI to make final business, legal, customs, brokerage, payment, or shipment decisions on your behalf.

16. Tracking Information

Tyllus may display shipment tracking information, container status, vessel information, estimated arrival dates, departure dates, discharge information, delay notices, availability updates, and other shipment-related updates based on information received from carriers, shipping lines, terminals, freight forwarders, APIs, data providers, or other third-party sources.

Tracking information may be delayed, incomplete, inaccurate, unavailable, outdated, or subject to change. Tyllus does not guarantee that tracking information will be real-time, complete, accurate, current, uninterrupted, or error-free.

You are responsible for verifying critical shipment information with the applicable carrier, shipping line, freight forwarder, customs broker, terminal, or other official source before making operational, customs, financial, or business decisions.

17. Reports, Dashboards, and Analytics

Tyllus may generate reports, charts, dashboards, summaries, analytics, cost breakdowns, customs-related reports, duty summaries, shipment summaries, document summaries, and other informational outputs based on documents, shipment data, partner submissions, invoices, entry summaries, freight invoices, customs broker invoices, tracking data, and other information available in the platform.

Reports, dashboards, charts, summaries, and analytics generated by Tyllus are provided for informational and operational visibility purposes only. They are not accounting advice, tax advice, legal advice, customs advice, trade compliance advice, tariff classification advice, duty calculation advice, financial advice, or an official customs or accounting record.

Tyllus does not guarantee that any report, dashboard, chart, summary, cost breakdown, customs-related report, duty summary, or analytics output will be complete, accurate, current, error-free, or suitable for any specific business, customs, accounting, tax, compliance, or financial purpose.

You are responsible for reviewing and verifying all reports, dashboards, charts, summaries, analytics, cost information, customs information, duty information, and shipment information against the original documents, invoices, entry summaries, broker records, accounting records, customs records, and other official or source materials before relying on them.

18. Confidential Business Information

Tyllus understands that shipment records, commercial invoices, packing lists, bills of lading, entry summaries, customs documents, freight invoices, customs broker invoices, partner information, shipment data, reports, and related business information may contain confidential or commercially sensitive information.

We use this information only as needed to provide, operate, secure, support, and improve Tyllus, including shipment coordination, automated follow-ups, document collection, document processing, AI-assisted features, shipment tracking, reporting, customer support, billing, compliance, security, and related business purposes.

Tyllus may share shipment-related information and documents with shippers, freight forwarders, customs brokers, and other parties selected or entered by you for the applicable shipment.

We do not sell your shipment documents or confidential business information.

19. Data Export and Downloads

Tyllus may allow you to download or export shipment documents, reports, records, and related information from the platform where such features are available.

Export and download functionality may depend on your account status, subscription plan, available features, document type, report type, data format, and platform functionality.

Tyllus does not guarantee that all information will be available for download or export in every format, at all times, or after account suspension, termination, closure, expiration of access, or deletion according to our retention practices.

You are responsible for downloading and keeping copies of any shipment documents, records, reports, invoices, customs documents, or other information that you need for your own business, accounting, customs, compliance, or recordkeeping purposes.

20. Document Versions and Prior Copies

Tyllus may retain prior versions, copies, extracted data, metadata, previews, summaries, reports, logs, backup records, or system records related to documents that are uploaded, replaced, updated, removed, or deleted through the platform.

Tyllus does not guarantee that complete version history will be available for every document, shipment, user action, partner submission, replacement, deletion, or update.

You are responsible for keeping your own copies of original documents, updated documents, customs records, invoices, reports, and other records needed for your business, accounting, customs, compliance, or legal purposes.

21. Activity Logs and Audit Records

Tyllus may collect and maintain activity logs, audit records, metadata, timestamps, access records, upload records, deletion records, update request records, partner link activity, user actions, IP addresses, browser or device information, and other technical or operational records related to use of the platform.

These records may be used for security, troubleshooting, customer support, compliance, fraud prevention, misuse detection, platform integrity, billing, dispute resolution, internal operations, and service improvement.

Tyllus does not guarantee that every action, upload, deletion, access event, partner submission, document change, or user activity will be logged, retained, or available in every circumstance.

22. Backups and Recovery

Tyllus may maintain backups, redundant records, system copies, or recovery processes for security, continuity, disaster recovery, troubleshooting, platform integrity, and operational purposes.

However, backups are not guaranteed to restore every document, shipment record, report, prior version, deleted item, user action, partner submission, extracted data, or platform record in every circumstance.

You are responsible for keeping your own copies of shipment documents, invoices, customs records, reports, and other information needed for your business, accounting, customs, compliance, or legal purposes.

23. Privacy and Third-Party Data Responsibilities

You are responsible for ensuring that you have all rights, permissions, notices, consents, authorizations, and legal bases necessary to provide information to Tyllus and to allow Tyllus to collect, use, store, process, transmit, disclose, and otherwise handle that information as described in these Terms and our Privacy Policy.

This includes information about your employees, representatives, shipment partners, shippers, freight forwarders, customs brokers, carriers, vendors, suppliers, customers, and other third parties.

You are responsible for complying with any privacy, data protection, confidentiality, employment, contractual, commercial, or other obligations that apply to your collection, use, sharing, or submission of information through Tyllus.

Tyllus is not responsible for your failure to provide required notices, obtain required permissions, maintain proper authorization, or comply with privacy or data protection obligations that apply to your business, users, employees, partners, or shipment-related contacts.

24. Prohibited Uses

You may not use Tyllus, or allow any other person to use Tyllus through your account, for any unlawful, fraudulent, misleading, harmful, or unauthorized purpose.

Without limiting the above, you agree that you will not:

use Tyllus in violation of any applicable law, regulation, order, or government requirement, including customs laws, import and export laws, sanctions laws, anti-boycott rules, anti-corruption laws, data protection laws, privacy laws, or trade compliance requirements;

use Tyllus to facilitate, support, conceal, or document any shipment, transaction, party, product, or activity that is illegal, restricted, prohibited, sanctioned, embargoed, counterfeit, stolen, or otherwise not authorized under applicable law;

use Tyllus in connection with any sanctioned, blocked, denied, restricted, or prohibited person, entity, vessel, country, region, end user, or end use, unless such activity is fully authorized under applicable law;

upload, submit, transmit, create, store, or rely on any false, fraudulent, misleading, incomplete, or inaccurate information or document, including information related to product descriptions, quantities, values, country of origin, HTS codes, tariff classification, duty amounts, invoices, packing lists, bills of lading, ISF information, entry summaries, customs documents, partner details, or shipment instructions;

impersonate any person or entity, misrepresent your authority, or use Tyllus to send communications to shippers, freight forwarders, customs brokers, carriers, or other parties without proper authorization;

enter, upload, or share personal information, business information, shipment information, documents, or contact details of any third party unless you have the right and authority to provide that information to Tyllus and to allow Tyllus to use it for the purposes described in these Terms and our Privacy Policy;

upload or transmit viruses, malware, harmful code, corrupted files, or any other materials that may damage, disrupt, overload, interfere with, or compromise Tyllus, its systems, its users, or any third-party systems;

attempt to gain unauthorized access to Tyllus, another user’s account, non-public areas of the platform, connected systems, APIs, databases, security features, or technical infrastructure;

interfere with, disrupt, bypass, disable, reverse engineer, decompile, copy, scrape, crawl, or misuse Tyllus, except as expressly permitted by us in writing;

use Tyllus to send spam, abusive, deceptive, harassing, defamatory, threatening, or otherwise inappropriate communications;

use Tyllus to infringe, misappropriate, or violate any intellectual property, confidentiality, privacy, contractual, or other rights of Tyllus or any third party;

use Tyllus or any AI-generated output from Tyllus as a substitute for your own independent review, professional judgment, customs broker review, legal advice, trade compliance advice, or government filing obligation;

use Tyllus to avoid payment obligations, bypass usage limits, misuse a demo or trial account, or access features or data that are not included in your authorized plan; or

use Tyllus in any manner that creates legal, regulatory, security, operational, reputational, or compliance risk for Tyllus, our users, our service providers, or any third party.

We may suspend, restrict, or terminate your access to Tyllus, remove or disable access to content, decline to process certain information, preserve records, or take other appropriate action if we believe that your use of Tyllus violates these Terms, applicable law, or creates unacceptable legal, security, operational, or compliance risk.

25. Third-Party Services and Integrations

Tyllus may rely on, connect with, or use third-party services, systems, APIs, software, platforms, infrastructure, and providers to operate the platform. These may include cloud hosting providers, email service providers, carrier tracking services, shipping line APIs, payment processors, analytics tools, AI and automation providers, security providers, database providers, storage providers, and other technology or business service providers.

Tyllus does not control all third-party services, systems, APIs, data sources, or providers used in connection with the platform. We do not guarantee that third-party services will be available, uninterrupted, error-free, secure, accurate, current, or compatible with Tyllus at all times.

Tyllus is not responsible for delays, outages, errors, failed transmissions, inaccurate tracking data, missing updates, payment processing issues, email delivery failures, API failures, data source errors, integration issues, or other problems caused by third-party services, third-party systems, carriers, shipping lines, service providers, internet providers, email providers, or circumstances outside Tyllus’s reasonable control.

Your use of third-party services may also be subject to the terms, policies, and practices of those third parties.

26. Platform Availability

Tyllus will use reasonable efforts to make the platform available and to maintain the functionality of the service. However, Tyllus does not guarantee that the platform will be uninterrupted, error-free, delay-free, secure, or available at all times.

Tyllus may be unavailable, delayed, limited, or interrupted due to maintenance, updates, technical issues, security issues, cloud service provider outages, third-party service issues, internet or email provider issues, carrier tracking issues, API issues, system upgrades, or circumstances outside Tyllus’s reasonable control.

Tyllus is not responsible for any loss, delay, missed notice, missed document, shipment issue, customs issue, business interruption, or other damage caused by platform downtime, delayed access, unavailable features, third-party outages, or temporary service interruptions.

27. Demo, Beta, and Early Access Features

Tyllus may offer demo, beta, pilot, trial, early access, or pre-release features. These features may be provided for testing, evaluation, feedback, onboarding, product development, or limited commercial use.

Demo, beta, pilot, trial, early access, or pre-release features may be incomplete, limited, experimental, unavailable, inaccurate, or subject to change. Tyllus may modify, improve, suspend, limit, replace, or discontinue any feature, workflow, integration, report, AI-assisted function, email template, partner submission link, tracking function, dashboard, pricing plan, or platform capability at any time.

You understand that Tyllus is continuously evolving and that features available during a demo, pilot, beta, trial, or early access period may not be available in the same form in the final or paid version of the platform.

Tyllus does not guarantee that any demo, beta, pilot, trial, early access, or pre-release feature will be error-free, uninterrupted, accurate, complete, or continued.

28. Fees, Payment, and Non-Payment

Certain Tyllus features, plans, or services may require payment of subscription fees or other charges. Fees, billing periods, payment terms, plan details, and any applicable limits will be described in the applicable order form, invoice, account page, pricing page, or other service documentation.

You are responsible for paying all fees when due. Unless otherwise stated in writing, subscription fees are billed on a recurring basis according to the plan selected or agreed with Tyllus.

If payment is overdue, disputed, reversed, declined, charged back, or not received when due, Tyllus may suspend, restrict, or terminate your account, subscription, shipment workflows, partner submission links, integrations, reports, document access, or other platform features.

During any suspension or restriction for non-payment, shipment workflows may stop, automated emails may not be sent, partner links may be disabled, documents may not be collected, and access to shipment records or reports may be limited.

You remain responsible for all unpaid fees, charges, taxes, and payment obligations incurred before suspension, termination, or account closure.

29. Cancellation and Refunds

You may cancel your paid subscription according to the cancellation process made available by Tyllus or by contacting us.

Unless otherwise stated in writing, cancellation will take effect at the end of the then-current billing period, and your subscription will not renew for the next billing period.

Fees already paid for the current billing period are generally non-refundable. Tyllus may, in its sole discretion, provide refunds, credits, extensions, or other accommodations, but is not required to do so unless required by applicable law or agreed in writing.

If you use Tyllus during a demo, trial, pilot, or free access period, paid billing may begin after that period ends if you select or agree to a paid plan.

30. Suspension and Termination

Tyllus may suspend, restrict, or terminate your access to the platform, your account, any shipment workflow, partner link, integration, feature, or related service if we believe that:

you have violated these Terms or any applicable law;

your account is being used for fraud, misuse, unauthorized access, or unlawful activity;

you have submitted or caused the submission of false, misleading, inaccurate, fraudulent, unauthorized, or unlawful information or documents;

your use of Tyllus creates customs, sanctions, export control, trade compliance, security, privacy, legal, regulatory, operational, financial, or reputational risk;

payment is overdue, disputed, reversed, or not received when due;

your account, credentials, shipment links, or partner communications may have been compromised or misused;

your use of Tyllus interferes with the platform, other users, service providers, integrations, or third-party systems; or

suspension or termination is necessary to protect Tyllus, our users, our service providers, shipment partners, or third parties.

If your account is suspended or terminated, you may lose access to shipments, documents, reports, partner links, workflows, and other information in the platform. Tyllus may preserve, delete, restrict, or retain account information and records as permitted by these Terms, our Privacy Policy, applicable law, and our internal retention practices.

You remain responsible for all fees, obligations, activities, documents, information, communications, and liabilities arising before suspension or termination.

31. Effect of Suspension or Termination on Partner Links

If your account, access, subscription, shipment workflow, or related service is suspended, restricted, terminated, closed, or deactivated, Tyllus may disable, expire, restrict, or remove any active partner submission links associated with your account or shipments.

After suspension or termination, shippers, freight forwarders, customs brokers, or other shipment partners may no longer be able to access shipment pages, submit information, upload documents, modify prior submissions, or use previously issued shipment links.

Tyllus is not responsible for missed submissions, delayed documents, shipment delays, customs issues, or other consequences resulting from disabled, expired, restricted, or unavailable partner links after suspension, termination, account closure, non-payment, security concerns, or violation of these Terms.

32. Data Retention After Account Closure

After your account is closed, terminated, or deactivated, Tyllus may retain shipment documents, records, reports, account information, logs, and related data for a limited period of time. Tyllus may retain certain information for legal, compliance, accounting, security, backup, dispute resolution, business record, or operational purposes.

Tyllus may retain shipment documents and related platform records for up to 10 years after account closure where reasonably necessary for legal, compliance, accounting, security, backup, dispute resolution, business record, or operational purposes, but Tyllus does not guarantee that documents or data will remain available after account closure or for any specific period.

You are responsible for downloading and preserving any documents, reports, records, invoices, customs documents, or other information that you need before your account is closed, terminated, or access is restricted.

33. Intellectual Property

Tyllus and its licensors own all rights, title, and interest in and to the Tyllus platform, website, software, technology, dashboards, workflows, automation tools, AI-assisted features, templates, email templates, report formats, user interface, designs, graphics, logos, trademarks, service marks, documentation, data models, analytics structures, and all related intellectual property.

These Terms do not transfer any ownership rights in Tyllus or our intellectual property to you. Subject to your compliance with these Terms, Tyllus grants you a limited, non-exclusive, non-transferable, revocable right to access and use the platform for your internal business purposes.

You retain ownership of the shipment documents, shipment data, partner information, business records, and other content that you or your selected partners submit to Tyllus. You grant Tyllus the rights necessary to host, store, process, display, transmit, analyze, use, and share that content as needed to provide, operate, secure, support, and improve the platform, including shipment workflows, automated communications, document processing, AI-assisted features, tracking, reporting, billing, support, compliance, and related services.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, scrape, reproduce, or create derivative works from Tyllus or any part of the platform, except as expressly permitted by us in writing.

34. Feedback

If you provide Tyllus with feedback, suggestions, ideas, comments, requests, improvements, feature recommendations, workflow suggestions, report suggestions, email template suggestions, bug reports, or other input regarding the platform, you agree that Tyllus may use, copy, modify, develop, commercialize, and incorporate that feedback into the platform or our business without restriction, compensation, attribution, or obligation to you.

Providing feedback does not give you any ownership rights in Tyllus, the platform, our technology, our workflows, our templates, our reports, our AI-assisted features, or any related intellectual property.

35. Aggregated and De-Identified Data

Tyllus may use aggregated, anonymized, or de-identified information derived from the use of Tyllus to understand platform usage, improve product performance, enhance document processing, improve AI-assisted features, develop reporting tools, troubleshoot issues, monitor security, analyze trends, and improve our services.

Aggregated, anonymized, or de-identified information does not identify a specific customer, user, shipment, partner, document, or individual. We do not use this information to disclose your confidential shipment documents or confidential business information to other customers.

36. No Insurance

Tyllus does not provide shipment insurance, cargo insurance, freight insurance, customs insurance, business insurance, or any other insurance coverage.

Tyllus is not responsible for insuring shipments, cargo, documents, customs filings, duties, taxes, penalties, demurrage, detention, storage, delays, damages, losses, missed deadlines, or other shipment-related risks.

You are responsible for obtaining and maintaining any insurance coverage you consider necessary for your shipments, cargo, business operations, customs compliance, trade compliance, documents, and related risks.

37. Indemnification

You agree to defend, indemnify, and hold harmless Tyllus, its affiliates, service providers, officers, directors, employees, contractors, representatives, and agents from and against any claims, demands, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your use of Tyllus;

your shipments, documents, instructions, partner selections, or shipment workflows;

information or documents submitted by you or your selected partners;

your violation of these Terms or applicable law;

your failure to obtain required rights, permissions, notices, consents, or authorizations;

your customs, trade compliance, sanctions, export control, tax, accounting, privacy, or data protection obligations;

communications sent to or received from shipment partners selected or entered by you;

unauthorized access caused by your account credentials, partner links, internal users, or selected contacts; or

any dispute between you and your shipment partners, customers, suppliers, vendors, freight forwarders, customs brokers, carriers, or other third parties.

38. Disclaimers

Tyllus is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Tyllus disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and error-free operation.

Tyllus does not warrant that the platform, AI-assisted features, tracking information, reports, document processing, automated emails, partner links, dashboards, integrations, or third-party services will be uninterrupted, accurate, complete, current, secure, timely, or free from errors.

39. Limitation of Liability

To the maximum extent permitted by law, Tyllus will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, business, goodwill, data, documents, use, opportunity, or anticipated savings, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if Tyllus has been advised of the possibility of such damages.

Tyllus is not responsible for shipment delays, customs delays, missed cutoffs, demurrage, detention, storage charges, customs duties, penalties, exams, holds, carrier issues, freight forwarder issues, customs broker issues, shipper issues, incorrect shipment information, incorrect partner information, missing documents, inaccurate documents, delayed document submissions, AI-generated errors, tracking inaccuracies, or any other losses arising from shipment operations, customs processes, third-party actions, or information provided by you or your selected partners.

Tyllus provides a software platform for shipment visibility, follow-up automation, document collection, document storage, tracking support, and reporting. Tyllus does not act as a carrier, freight forwarder, customs broker, shipper, legal advisor, tax advisor, trade compliance advisor, or insurance provider.

To the maximum extent permitted by law, Tyllus’s total liability for any claim arising out of or relating to Tyllus, these Terms, your account, or your use of the platform will not exceed the amount you paid to Tyllus for the one-month subscription period immediately preceding the event giving rise to the claim.

If you use Tyllus during a free trial, demo, beta, pilot, or unpaid period, Tyllus’s total liability will not exceed $100.

The limitations in this section apply even if any limited remedy fails of its essential purpose.

40. Security Incidents

Tyllus uses reasonable administrative, technical, and organizational safeguards designed to protect information processed through Tyllus. However, no platform, system, network, transmission, cloud service, or storage method can be guaranteed to be completely secure.

If Tyllus becomes aware of a security incident involving information processed through Tyllus that requires notice under applicable law, Tyllus will notify affected customers or users as required by applicable law.

Not every technical issue, outage, failed login attempt, suspicious activity, bug, delayed communication, or system error is a security breach or requires notice. Tyllus may investigate, contain, remediate, monitor, and document security-related events as appropriate based on the nature of the issue.

41. Force Majeure

Tyllus will not be responsible or liable for any delay, failure, interruption, data issue, communication failure, tracking issue, workflow failure, service limitation, or inability to perform caused by events or circumstances outside Tyllus’s reasonable control.

These events may include internet outages, telecommunications failures, power failures, cloud service provider outages, third-party service provider issues, carrier or shipping line system issues, API failures, email provider issues, payment processor issues, cyberattacks, security incidents, natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, labor strikes, government action, regulatory action, supply chain disruption, or other events beyond Tyllus’s reasonable control.

During such events, Tyllus may suspend, delay, limit, modify, or interrupt the platform or related services without liability.

42. Assignment and Transfer

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without Tyllus’s prior written consent.

Tyllus may assign, transfer, delegate, subcontract, or otherwise move these Terms, the platform, customer accounts, subscriptions, billing arrangements, service rights, data processing rights, and related rights and obligations to an affiliate, successor, newly formed entity, acquirer, or other entity in connection with a reorganization, business transition, financing, merger, acquisition, sale of assets, launch of a dedicated Tyllus operating company, or similar transaction.

If such a transfer occurs, Tyllus may update these Terms, our Privacy Policy, invoices, account notices, or other service documentation to reflect the new service provider. Your continued use of Tyllus after such update will be subject to the updated Terms and applicable service documentation.

43. Dispute Resolution

If a dispute, claim, or disagreement arises out of or relates to Tyllus, these Terms, your account, or your use of the platform, the parties agree to first try to resolve the matter in good faith through informal communication.

You agree to contact Tyllus and provide a reasonable description of the issue before starting any formal legal proceeding, unless immediate legal action is required by applicable law.

If the parties cannot resolve the dispute informally, the dispute will be handled according to the governing law and venue identified in the applicable order form, invoice, service documentation, or other written agreement between you and Tyllus. If no governing law or venue is identified, Tyllus may update these Terms to identify the applicable governing law and dispute venue based on the legal entity providing the service.

44. Notices and Communications

Tyllus may send or display notices, alerts, updates, reminders, document requests, shipment follow-ups, account notices, billing notices, security notices, and other service-related communications through email, in-platform notifications, dashboard alerts, or other communication methods made available through the platform.

You are responsible for keeping your account contact information accurate and up to date. Tyllus is not responsible for missed notices, delayed communications, or failed delivery caused by inaccurate contact information, email filtering, spam settings, system outages, third-party service issues, or your failure to review platform notifications or dashboard alerts.

45. Changes to These Terms

Tyllus may update these Terms from time to time. We may make changes to reflect product updates, new features, changes in our business, legal or regulatory requirements, security needs, billing changes, service provider changes, or other operational reasons.

If we update these Terms, we may notify you by posting the updated Terms on our website or within the platform, sending an email, displaying an in-platform notice, posting a dashboard alert, or using another reasonable method.

The updated Terms will become effective when posted or on the effective date stated in the updated Terms. Your continued use of Tyllus after the updated Terms become effective means that you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using Tyllus and may cancel your account or subscription as described in these Terms.

46. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid, illegal, or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent as closely as possible.

47. Entire Agreement

These Terms, together with any applicable order form, invoice, pricing page, account page, service documentation, and our Privacy Policy, form the entire agreement between you and Tyllus regarding your access to and use of the platform.

If there is a conflict between these Terms and an applicable order form or written agreement signed by Tyllus, the order form or signed written agreement will control only for the specific conflict.

48. No Waiver and Survival

Tyllus’s failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

Any provisions that by their nature should survive termination will survive, including payment obligations, confidentiality, user responsibilities, privacy and data obligations, intellectual property, feedback, disclaimers, limitation of liability, indemnity, dispute resolution, data retention, and any other provisions intended to survive account closure, suspension, termination, or expiration.
